1. Acceptance of Terms

By accessing or using BASIS ("Service," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a corporate entity, you represent that you have the legal authority to bind that entity to these Terms. If you do not agree, do not connect your CRM or use the Service.

2. Description of Service

BASIS is an automated revenue recovery engine purpose-built for B2B sales teams. The Service connects natively to your HubSpot CRM via OAuth to monitor "Closed Lost" deal records, detect champion job changes, and generate AI-drafted outreach onto your CRM timeline.

3. Account Registration and Security

You must provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and HubSpot portal connections. You must immediately notify us of any unauthorized use of your account.

4. HubSpot Integration and Data Access

To function, BASIS requires authorization to connect to your HubSpot portal.

  • OAuth Scopes: We only request the minimum permissions necessary to monitor records and draft timeline activities.

  • Revocation: You may revoke our access to your HubSpot portal at any time through your HubSpot integration settings. Upon revocation, the Service will immediately cease functioning for your account.

5. Subscription, Billing, and Cancellation

  • Fees: BASIS is a paid, monthly subscription service. By entering your payment information, you authorize our third-party payment processor (Stripe) to charge your designated payment method on a recurring monthly basis.

  • No Refunds: All fees are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing cycle.

  • Upgrades/Downgrades: If you exceed the CRM record limit of your current tier (e.g., Starter to Pro), you will be prompted to upgrade to maintain active daily sweeps.

6. AI Generation and Acceptable Use

BASIS utilizes proprietary AI models to draft contextual outreach based on your CRM data.

  • User Responsibility: BASIS drafts emails; it does not automatically send them. Your sales representatives are solely responsible for reviewing, approving, and sending all communications.

  • Compliance: You agree to use the Service in strict compliance with all applicable local and international communication laws, including CAN-SPAM and GDPR. You may not use BASIS to generate malicious, harassing, or illegal content.

7. Intellectual Property

BASIS retains all rights, title, and interest in and to the Service, including all underlying software, algorithms, UI/UX designs, and proprietary AI engine prompts. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business operations.

8. Limitation of Liability

To the maximum extent permitted by law, BASIS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to our servers; or (c) any CRM data sync interruptions.
